These Terms of Service ("Terms") govern your access to and use of the services, platform, and communications provided by MDO Labs LLC ("MDO Labs," "we," "our," or "us"), including our website at mdolabs.dev, our WhatsApp Business Account, and any related tools or applications (collectively, the "Services").

By accessing or using our Services — including initiating a conversation through our WhatsApp Business channel or logging in through our Meta-connected application — you agree to be bound by these Terms. If you do not agree, please do not use the Services.

Description of Services

MDO Labs LLC is a technology and operations company providing business software, AI-powered workflow tools, and communications infrastructure to small businesses and entrepreneurs. Our Services may include:

• Business operations and workflow automation tools.
• WhatsApp Business messaging and human-in-the-loop communication services.
• Marketplace and vendor management platforms.

• Any other services we make available from time to time.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice where practicable.

If you are using the Services on behalf of a business entity, you further represent that you have authority to bind that entity to these Terms.

Accounts & Access

Certain features of our Services may require you to authenticate via a Meta or Facebook login or provide contact information through WhatsApp. You are responsible for maintaining the confidentiality of any credentials associated with your access and for all activities that occur under your account.

You agree to:

• Provide accurate and complete information when registering or communicating with us.
• Notify us immediately of any unauthorized use of your account.
• Not share your credentials or allow others to access the Services through your account.

We reserve the right to suspend or terminate access to the Services if we reasonably suspect unauthorized use or a violation of these Terms.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services to transmit spam, unsolicited messages, or deceptive communications.
• Attempt to reverse-engineer, scrape, or otherwise interfere with the technical operation of our Services.
• Use the Services to violate any applicable local, national, or international law or regulation.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

You retain ownership of any content you submit or transmit to us through the Services. By submitting content, you grant MDO Labs a limited, non-exclusive license to use that content solely to provide and improve the Services.

Third-Party Services & Platforms

Our Services integrate with or operate on top of third-party platforms including Meta, WhatsApp, and others. Your use of those platforms is subject to their respective terms and policies, which are independent of these Terms. We are not responsible for the practices, content, or availability of third-party services.

Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We make no representations regarding the accuracy or completeness of any content provided through the Services.

Limitation of Liability

To the fullest extent permitted by applicable law, MDO Labs LLC and its members, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from the Services shall not exceed the greater of (a) the amount you paid us for the Services in the three months preceding the claim, or (b) USD $100.

Indemnification

You agree to indemnify, defend, and hold harmless MDO Labs LLC and its members, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in English. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction.

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
